1. Acceptance of Terms

Welcome to Skyline IT Solutions. These Terms of Service ("Terms") govern your engagement with and use of the services and solutions provided by Skyline IT Solutions ("Company," "we," "us," or "our").

By signing a contract, accepting a project proposal, or engaging our services, you acknowledge and agree to be legally bound by these Terms, our Privacy Policy, and the specific terms outlined in your formal Project Agreement or Statement of Work (SOW). If you do not agree to these Terms, you may not proceed with engaging our services.

2. Scope of Services

Skyline IT Solutions provides professional, project-based IT and digital solutions, which include:

  • Digital Product Development: Custom Websites, Web Applications, Dashboards, and Mobile Applications.
  • Creative & Design Services: Graphic Design, UI/UX design, and corporate branding collateral.
  • Maintenance & Support: Ongoing technical support, hosting management, and content updates for delivered digital assets (as defined in a separate maintenance contract).
  • Consulting: IT Strategy, digital transformation roadmaps, and technology auditing.

The exact deliverables, project milestones, and timeline are strictly defined in the mutually executed Statement of Work (SOW) which supersedes any general descriptions in this document.

3. Project Execution and Client Obligations

A. Client Responsibilities

The Client (you) agrees to:

  • Timely Feedback: Provide prompt feedback and necessary approvals at designated project milestones to avoid delays. Delays in feedback may affect the final delivery date.
  • Content Provision: Supply all necessary digital content (text, images, logos, access credentials) in the required format and on schedule.
  • Authorized Access: Grant necessary and temporary access to hosting environments, repositories, or third-party accounts required for development and deployment.

B. Approval and Acceptance

Upon completion of development phases as defined in the SOW, the Client must perform acceptance testing. Formal written approval (the "Acceptance") signifies that the Client is fully satisfied with the work. Once Acceptance is provided, any further changes will be considered New Work and will be billed separately.

4. Intellectual Property Rights (IP) and Ownership

A. Transfer of Client IP

Upon full and final paymentfor the project, all intellectual property rights, including the copyright for the unique design elements, custom source code, and original content developed specifically for the Client under the SOW, shall be transferred to the Client.

B. Company Tools & Licenses

The Client acknowledges that the final delivered solution may include pre-existing components (e.g., standard coding libraries, frameworks, or development tools) licensed by Skyline IT Solutions. Ownership of these underlying tools and components remains with the Company or its licensors. The Client is granted a perpetual, non-exclusive license to use these components solely as part of the delivered solution.

C. Third-Party Materials

If the project requires commercial stock images, paid fonts, or third-party software licenses, the Client is responsible for either purchasing the necessary licenses or reimbursing the Company for procurement costs, as detailed in the SOW.

5. Fees, Billing, and Payment Terms

Payment terms are governed by the specific SOW, typically following a milestone-based payment schedule:

  • Initial Deposit (Retainer): A non-refundable deposit is required to initiate the project, usually [e.g., 25-50%] of the total SOW value.
  • Milestone Payments: Payments are due upon successful completion and acceptance of defined project milestones.
  • Final Payment: The outstanding balance is due upon project completion and prior to final deployment or transfer of Intellectual Property.
  • Late Fees: Payments not received within [Ten (10)] days of the due date will incur a late fee of [1.5%] per month on the overdue amount.

6. Warranties and Limitation of Liability

A. Limited Warranty (Bug Fixes)

Skyline IT Solutions warrants that the delivered solution will substantially conform to the specifications in the SOW for a period of [Thirty (30)] days following final Acceptance. We will use reasonable efforts to correct any confirmed bugs or errors in the code during this warranty period free of charge. This warranty does not cover issues caused by third-party software, client modifications, or hosting failures.

B. Critical Disclaimer

EXCEPT AS EXPRESSLY WARRANTED IN SECTION 6.A., ALL SERVICES AND DELIVERABLES ARE PROVIDED "AS IS." SKYLINE IT SOLUTIONS EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE OPERATION OF THE DELIVERED SOLUTION WILL BE UNINTERRUPTED OR ERROR-FREE AFTER THE WARRANTY PERIOD.

C. Limitation of Liability

IN NO EVENT SHALL SKYLINE IT SOLUTIONS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF DATA OR LOST PROFITS. OUR TOTAL CUMULATIVE LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM THE PROJECT SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY THE CLIENT TO THE COMPANY UNDER THE RELEVANT SOW.

7. Termination and Governing Law

Termination details are specified in the SOW. If the Client terminates the project without cause before completion, the Client agrees to pay for all work completed up to the date of termination, and the initial deposit may be forfeited.

These Terms shall be governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India.
